Terms of Use

These Terms of Use (“Terms”) are a legal agreement between you and Versatyl Group (“Mealio,” “we,” “us,” or “our”) governing your use of the Mealio mobile application (the “App”). By downloading or using the App, you agree to these Terms. If you do not agree, do not use the App.

Mealio is an informational restaurant-discovery tool for New York City. It is not a reservation, ordering, delivery, or payment service. When you get directions, call a venue, or make a reservation, the App hands you off to a third party (such as your phone, a maps app, or a reservation provider); any transaction is solely between you and that third party.

You must be at least 18 years old to use the App. By downloading or using the App, you represent that you are 18 or older. The App is not directed to anyone under 18, and we do not knowingly permit anyone under 18 to use it or to create an account. If we learn that a user is under 18, we will close the account and delete the associated information as described in the Privacy Policy.

This 18-and-over requirement is our own condition of use. It applies wherever you are, including in the European Economic Area (“EEA”) and the United Kingdom, and it applies regardless of the lower age at which local law might otherwise permit a person to agree to the processing of their personal data.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the App for your own personal, non-commercial purposes. We reserve all rights not expressly granted.

You agree that you will not, and will not permit anyone else to:

• copy, scrape, harvest, extract, index, or systematically collect or store the App’s content, listings, ratings, rankings, or other data, whether manually or by any automated means (including bots, crawlers, or scripts);
• access the App or its underlying services other than through the interface we provide, or attempt to access data or services you are not authorized to access;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, models, methods, or underlying logic of the App or its results;
• reproduce, resell, sublicense, or otherwise commercially exploit the App or its content;
• interfere with, overload, or disrupt the App or its infrastructure, or circumvent any rate-limiting, security, or access controls; or
• use the App in any way that is unlawful or that infringes the rights of others.

The App, and all content we provide through it — including its design, text, compilations, organization, ratings, rankings, and the selection and arrangement of information — are owned by us or our licensors and are protected by intellectual property and other laws. The “Mealio” and “Versatyl Group” names and logos are our marks. Nothing in these Terms transfers any ownership to you.

The App lets you create your own content — including custom rating axes, numeric scores, and written notes or rationales you attach to venues (“Your Content”). You retain ownership of Your Content.

When you create Your Content while signed in to a Mealio account, you grant Versatyl Group a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, analyze, aggregate, create derivative works from, and otherwise use Your Content to operate, improve, and develop the App and our products and services — including compiling Your Content together with other users’ content into aggregated and de-identified datasets, insights, and analytics, which we may use and disclose to third parties (such as hospitality and industry partners). We will not publish the free-text notes you write in a form that personally identifies you without your permission.

You are responsible for Your Content, and you represent that you have the right to submit it and that it does not violate any law or the rights of others. Do not include sensitive personal information in Your Content. You may delete Your Content in the App, and you may delete your account, which removes your account-linked content from our active systems (subject to the limited retention described in the Privacy Policy). Aggregated or de-identified data that no longer identifies you may be retained and continue to be used.

If you use the App as a guest (without creating an account), this Section 6 does not apply: your custom content is not collected and remains only on your device.

Our Privacy Policy explains what information we handle and why, and it forms part of these Terms. Versatyl Group is the controller of personal data processed through the App.

We are based in the United States and the App covers venues in New York City, so your information is processed in the United States. Where the EU General Data Protection Regulation (“GDPR”) or the UK GDPR applies to our processing of your personal data — for example, if you are in the EEA or the UK when you use the App, or you are otherwise protected by those laws — we handle your personal data in accordance with them, including the legal bases, international-transfer safeguards, and data-subject rights described in the Privacy Policy. Nothing in these Terms limits any right you have under the GDPR, the UK GDPR, or other applicable data protection law.

Restaurant information in the App — including names, addresses, hours, menus, prices, photos, and other details — is drawn from third-party sources and provided for general informational purposes. We do not create this underlying information, we do not guarantee its accuracy, completeness, timeliness, or availability, and it may be out of date or incorrect. Mealio is not affiliated with, and does not endorse, the venues it lists. Always confirm details (such as hours, availability, pricing, and dietary information) directly with the venue before relying on them. The App may link or hand off to third-party apps and services, whose own terms and policies govern your use of them.

The ratings, rankings, match indicators, and similar outputs the App displays are our own opinions and estimates, generated from the information available to us and provided for guidance only.

THE APP AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION IT PROVIDES IS ACCURATE OR RELIABLE. YOU USE THE APP AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERSATYL GROUP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE APP. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE APP WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100.00). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

If you are a consumer resident in the EEA or the United Kingdom, nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the law of your country of residence.

You agree to indemnify and hold harmless Versatyl Group from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your misuse of the App or your violation of these Terms.

We may modify or discontinue the App, in whole or in part, at any time. We may also update these Terms from time to time; material changes will be reflected by updating the date above. Your continued use of the App after an update means you accept the revised Terms.

We may suspend or terminate your access to the App at any time if you violate these Terms or misuse the App, including if we learn that you are under 18. You may stop using the App at any time by deleting it.

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in New York, and you consent to their jurisdiction, except where prohibited by applicable law.

If you are a consumer resident in the EEA or the United Kingdom, this section does not deprive you of the protection of the mandatory consumer-protection or data protection rules of the country in which you live, and you may bring proceedings in the courts of that country where local law gives you that right.

If any provision of these Terms is held unenforceable, the remaining provisions stay in full effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the App.
